TERMS OF THIS CONTRACT WHICH ARE HEREBY MUTUALLY AGREED UPON AS FOLLOWS:

(A) This bill of lading shall have effect subject to the provisions of the Carriage of Goods by Sea Act of the United States, approved April 16, 1936, which shall be deemed a surrender by the carrier of any of its responsibilities or liabilities under said Act. If any term of this bill of lading be repugnant to said Act to any extent, such term shall be void to that extent, but no further. 1.本提单应依据美国1936年4月16日的《海上货物运输法》的规定予以提货,提货即视为免除上述法规所规定的承运人的一切责任或义务。本提单的条款如与上述法规相抵触,在抵触范围内的应视为无效。

(B) Paragraph (A) of this bill of lading shall be applicable and the carrier shall be entitled-to avail itself of all rights or immunities provided for in the Carriage of Goods by Sea Act of the United States, approved April 16, 1936, although the contract of carriage evidenced by this bill of lading is not for the Carriage of Goods by Sea to or from ports of the United States; however, if this bill of lading is issued in Canada, and contains or is evidence of a contract for the carriage of goods by water in a ship or ships carrying goods from any port in Canada to any other port, whether in or outside Canada, then this bill of lading shall have effect subject to the provisions of the Rules as applied by the Water Carriage of Goods Act, 1936, of the Dominion of Canada, and said Act and Rules shall be deemed incorporated herein and nothing herein contained shall be deemed a surrender by the carrier of any of its rights or immunities, or an increase of any of its responsibilities or liabilities under said Act and Rules, and if any term of this bill of lading be repugnant to said Act and Rules to any extent, such term shall be void to that extent, but no further.

(C) The Carriers responsibility in respect of the goods as a carrier shall not attach until the goods are actually loaded for transportation upon the ship and shall terminate without notice as soon as the goods leave the ship's tackles at the Port of Discharge from Ship or other place where the Carrier is authorized to make delivery or end its responsibility. Any responsibility of the Carrier in respect of the goods attaching prior to such loading, or continuing after leaving the ship's tackles as aforesaid, shall not exceed that of an ordinary bailee, and, in particular, the Carrier shall not be liable for loss or damage to the goods due to flood; fire, as provided elsewhere in this bill of lading; falling or collapse of wharf, pier or warehouse; robbery, theft or pilferage; strikes, lockouts or stoppage or restraint of labor from whatever cause, whether partial or general; any of the risks and causes mentioned in paragraphs(a), (c) to (i), inclusive, and (k) to (p), inclusive, of subdivision 2 of section 4 of the Carrier of Goods by Sea Act of the United States; or any risks or causes whatsoever, not included in the foregoing, and whether like or unlike those hereinabove mentioned, where the loss or damage is not due to the fault or neglect of the Carrier. If the goods in whole or in part are shut out from the ship named herein for any cause, the Carrier shall have the liberty to forward them under the terms of this bill of lading on the next available ship.

1. The Carrier shall not be liable in any capacity whatsoever for any delay, non-delivery or misdelivery, or loss of or damage to the goods occurring while the goods are not in the actual custody of the Carrier. The Carrier shall be entitled to the full benefit of, and right to, all limitations of, or exemptions from, liability authorized by any provisions of Sections 4281 to 4286 inclusive, of the Revised Statutes of the United States, and of any amendments, supplements or re-enactments thereof and of any other provisions of the laws of the United States or of any other country whose laws shall apply. If the ship is not owned by or chartered by demise to _______ Company, Inc. (as may be the case notwithstanding anything that appears to the contrary) this bill of lading shall take effect only as a contract with the owner or demise charterer, as the case may be, as principal, made through the agency of ______ Company, Inc. which acts as agent only and shall be under no personal liability whatsoever in respect thereof. If, however, it shall be adjudged that any other than the owner or demise charterer is carrier and/ or bailee of the goods all limitations of and exonerations from liability provided by law or by the terms hereof shall be available to such other.

2. In this bill of lading the word \"ship\" shall include any substituted vessel, and any craft, lighter or other means of conveyance owned, chartered or operated by the Carrier used in the performance of this contract; the word \"Carrier\" shall include the ship, her owner, master, operator, demise charterer, and if bound hereby the time charterer, and any substituted carrier, whether the owner, operator, charterer, or master shall be acting as carrier or bailee; the word \"shipper\" shall include the person named as such in this bill of lading and the person for whose account the goods are shipped; the word \"consignee\" shall include the holder of the bill of lading, properly endorsed, and the receiver and the owner of the goods; the word \"charges\" shall include freight and all expenses and money obligations incurred and payable by the goods, shipper, consignee, or any of them. 二、本提单中的“船舶”一词指任何替代船舶、任何小船、驳船或其他为承运人所拥有,并用于履行本合同的运输工具;“承运人”一词是指船舶、船东、船长、操作人员、光船租船人、本提单限定的定期租船人、以及任何实际承运人,不论是船东、操作人员,租船人或船长代理而被视为承运人或受托人;“发货人”一词是指本提单上所列的发货人,货物为其而装运;“收货人”一词是指正式背书提单的持有人,货物的接收者和所有人;“费用”一词是指运费和因货物、发货人、收货人、或因他们任何一个而发生且应由其支付或了结的一切费用和金钱义务。

3. The trade routes of the carrier are between the East Coast of North America , including the Gulf of Mexico, and South America (not south of Cayenne), the steamers of the line calling enroute, whether south or northbound, at West Indian, Caribbean Sea and Gulf of Mexico ports, in particular at the ports of Haiti, Dominican RePublic, Windward and Leeward Islands, British West Indies, Jamaica, Cuba, Bermuda, etc. The scope of voyage herein contracted for shall include usual or customary or advertised ports of call whether named in this contract or not, also ports in or out of the advertised, geographical, usual or ordinary route or order, even though in proceeding thereto the ship may sail beyond the port of discharge or in a direction contrary thereto or return to the original port, or depart from the direct or customary route, and includes all canals, straits and other waters. The ship may call at any port for the purposes of the current voyage or of a prior or subsequent voyage. The ship may omit calling at any port or ports whether scheduled or not, and may call at the same port more than once; may for matters occurring before loading the goods, known or unknown at the time of such loading and matters occurring after such loading, either with or without the goods or passengers on board, and before or after proceeding toward the port of discharge, adjust compasses, dry dock, with or without cargo aboard go on ways or to repair yards, shift berths, make trial trips or tests, take fuel or stores, remain in port, sail with or without pilots, tow and be towed, and save or attempt to save life or property; and all of the foregoing are included in the contract voyage.

4. In any situation whatsoever and wheresoever occurring and whether existing or anticipated before commencement of or during the voyage, which in the judgment of the Carrier or the Master is likely to give rise to risk of capture, seizure, detention, damage, delay or disadvantage to or loss of the ship or any part of her cargo, or to make it unsafe, imprudent, or unlawful for any reason to commence or proceed on or continue the voyage or to enter or discharge the goods at the port of discharge, or to give rise to delay or difficulty in arriving, discharging at or leaving the port of discharge or the usual or agreed place of discharge in such port, the Carrier may before loading or before the commencement of the voyage, require the shipper or other person entitled thereto to take delivery of the goods at port of shipment and upon failure to do so, may warehouse the goods at the risk and expense of the goods; or the Carrier or the Master, whether or not proceeding toward or entering or attempting to enter the port of discharge or reaching or attempting to reach the usual place of discharge therein or attempting to discharge the goods there, may discharge the goods into depot, lazaretto, craft, or other place; or the ship may proceed or return, directly or indirectly, to or stop at any port or place whatsoever as the Master or the Carrier may consider safe or advisable under the circumstances, and discharge the goods, or any part thereof, at any such port or place; or the Carrier or the Master may retain the cargo on board until the return trip or until such time as the Carrier or the Master thinks advisable and discharge the goods at any place whatsoever as herein provided;or the Carrier or the Master may discharge and forward the goods by any means, rail, water, land, or air at the risk and expense of the goods. The Carrier or the Master is not required to give notice of discharge of the goods or the forwarding thereof as herein provided. When the goods are discharged from the ship, as herein provided, they shall be at their own risk and expense; such discharge shall constitute complete delivery and performance under this contract and the Carrier shall be freed from any further responsibility. For any services rendered to the goods as hereinabove provided, the Carrier shall be entitled to a reasonable extra compensation. The Carrier may, in its discretion, in order to secure dispatch for the Vessel at port of discharge or trans-shipment of the Goods, proceed thence with the whole or any portion of the goods on board and discharge the same on the return trip or subsequent voyage, or discharge the same at any other port and thence carry or forward the same at Carrier's convenience to destination at Vessel's expense, but at risk of shipper and consignee in either case, subject in other respects to the provisions of this bill of lading in case of transportation by the Carrier, or of the usual bill of lading, of any other carrier performing the same.

5. The Carrier, Master and .ship shall have liberty to comply with any orders or directions as to loading, departure, arrival, routes, ports of call, stoppage, discharge, destination, delivery or otherwise howsoever given by the government of any nation or department thereof or any person acting or purporting to act with the authority of such government or any department thereof, or by any .committee or person having, under the terms of war risk insurance on the ship, the right to give such orders or directions. Delivery or disposition of the goods in accordance with such orders or directions shall be a fulfillment of the contract voyage. The ship may carry contraband, explosives, munitions, warlike stores, hazardous cargo, and may sail armed or unarmed and with or without convoy. 五、承运人、船长和船舶有权遵守任何国家政府或政府部门或代表或旨在代表政府或政府部门行使职权的任何个人所作出的有关装货、离港、抵达;航线、停靠港口、停航、卸货、目的地、交货或其他事项的命令或指令,或任何委员会或个人根据船舶战争风险保险条款规定而有权作出的此种命令或指令。根据此种命令或指令交货或处置货物应视为完成合同规定的航次。船舶可运载违禁品、爆炸物品、军火、军用物资、危险品,且可武装或非武装航行,使用或不使用护航。

In addition to all other liberties herein the Carrier shall have the right to withhold delivery of, reship to, deposi't or discharge the goods at any place whatsoever, surrender or dispose of the goods in accordance with any direction, condition or agreement imposed upon or exacted from the Carrier by any government or department thereof or any person purporting to act with the authority of either of them. In any of the above circumstances the goods shall be solely at their risk and expense and all expenses and charges so incurred shall be payable by the owner or consignee thereof and shall be a lien on the goods.

6. Unless otherwise stated herein, the description of the goods and the particulars of the packages mentioned herein are those furnished in writing by the shipper and the Carrier shall not be concluded as to the correctness of marks, number, quantity, weight, gauge, measurement,

contents, nature, quality or value. Single pieces or packages exceeding 4000 lbs. in weight shall be liable to pay extra charges in accordance with tariff rates in effect at time of shipment for loading, handling, transshipping or discharging and the weight of each such piece or package shall be declared in writing by the shipper on shipment and clearly and durably marked on the outside of the piece or package..The shipper and the goods shall also be liable for, and shall indemnify the carrier in respect of any injury, loss or damage arising from shipper's failure to declare and mark the weight any such piece or package or from inadequate or improper description of the goods for from the incorrect weight of any such piece or package having been declared or marked thereon, or from failure fully to disclose the nature and character of the goods.

六、除本合同另有规定外,本合同提到的货物名称和包装情况均为发货人书面所提供,承运人对标记、编号、数量、重量、规格、尺寸、内货、性质、质量或价值的正确性不负责。凡每件或每包重量超过4,000磅的货物应按装船、搬运、转运或卸货时的适用的费率交纳额外费用,转运时;发货人应书面申报超重的每件或每包货物的重量,并清楚持久地在包、件上打上标记。发货人和货主将对因发货人没有申报超重包件的重量和打标记,或货物品类不当或不妥,或申报或标记的每件或每包货物的重量不正确,或完全没有披露货物的性质和特征而导致的伤害、灭失或损失负责,并就此对承运人进行赔偿。

7. Goods may be stowed in poop, forecastle, deck house, shelter deck, passenger space or any other covered-in space commonly used in the trade and suitable for the carriage of goods, and when so stowed shall be deemed for all purposes to be stowed under deck. In respect of goods carried on deck all risks of loss or damage by perils inherent in such carriage shall be borne by the shipper or the Consignee but in all other respects the custody and carriage of such goods shall be governed by the terms of this bill of lading and the provisions stated in said Carriage of Goods by Sea Act notwithstanding Sec. l(c) thereof. Specially heated or specially cooled Stowage is not to be furnished unless contracted for at an increased freight rate. Goods or articles carried in any such compartment are at the sole risk of the owner thereof and subject to all the. conditions, exceptions and limitations as to the Carriers liability and other provisions Of this bill of lading; and further the Carrier shall not be liable for any loss or damage occasioned by the temperature, risks of refrigeration, defects or insufficiency in or accidents to or explosion, breakage, derangement or failure of any refrigerator plant or part thereof, or by 'or in any material or the supply or use thereof used in the process of refrigeration unless shown to have been caused by negligence of the Carrier from liability for which the Carrier is not by Law entitled to Exemption. 七、货物可装放在船尾、前甲板、甲板室、遮蔽甲板、客仓或任何其他通常用于贸易并适合货运的有掩蔽的场所,货物如此装放时,应视为装放在仓内。就舱面货而言,发货人或收货人应承担舱面装运自身风险而造成的一切灭失或损失,但在其他方面,舱面货的监护和承运应按本提单条款和上述《海上货物运输法》的规定执行,尽管本合同第1条第3款作有规定。不提供专门的冷热储存设备,除非协议规定并增加运费。专门的冷热舱室所装运的货物或物品的风险应由货主独自承担,就承运人的责任而言,应按本提单所有的条件;免责条款和责任限制以及其他规定执行;此外,对因温度、制冷险、制冷设备或其部件的缺陷、缺乏、事故、或爆炸、损耗,失调或不制冷而导致的,或因制冷过程中使用的任何物资或因其供应或使用而导致的任何灭失或损失,承运人概不负责,除非证明其是因承运人的过失责任而导致,且根据法律承运人无权享受免责。

8. Live animals are received and carried at shipper's risk of accident or mortality, and the Carrier shall not be liable for any loss or damage thereto arising or resulting from any matters mentioned in Section 4, Subsection 2, a to p inclusive of said Carriage of Goods by Sea Act or

from any other cause whatsoever not due to the fault of the Carrier, any warranty, of seaworthiness in the premises being hereby waived by the shipper. Except as provided above such shipments shall be deemed goods, and shall be subject to all terms and provisions in this Bill of Lading relating to goods.

八、承运鲜活动物,意外风险或死亡应由发货人承担,承运人不得因上述《海上货物运输法》第4条第2款第1—16(A—P)项所规定事项或其他不属于承运人过失的任何原因而导致的任何有关动物的灭失或损失负责,在此发货人放弃上述各项规定的适航保证。除以上规定的外,装运的活动物应被视为货物,并按本提单有关货物的所有条款和规定处理。 9. If the ship comes into collision with another ship as a result of the negligence of the other ship and any act, neglect or default of the Master, mariner, pilot or the servants of the Carrier in the navigation or in the management of the ship, the owners of the goods carried hereunder will indemnify the Carrier against all loss or liability to the other or non-carrying ship or her owners in so far as such loss or liability represents loss of, or damage to, or any claim whatsoever of the owners of said goods, paid or payable by the other or non-carrying ship or her owners to the owners of said goods and set off, recouped or recovered by the other or non-carrying ship or her owners as part of their claim against the carrying ship or the Carrier.

The foregoing provisions shall also apply where the owners, operators or those in charge of any ship or ships or objects other than, or in addition to, the colliding ships or objects are at fault in respect of a collision or contact.

10. General average shall be adjusted, stated and settled, according to York-Antwerp Rules 1950, at such port or place in the United states asmay be selected by the Carrier, and as to matters not provided for by these Rules, according to the laws and usage at the port of New York. In such adjustment disbursements in foreign currencies shall be exchanged into United States money at the rate prevailing on the dates made and allowances for damage to cargo claimed in foreign currency shall be converted at the rate prevailing on the last day of discharge of such damaged cargo from the ship. Average agreement or bond andsuch additional security, as may be required by the Carrier, must be furnished before delivery of the goods, such cash deposit as the Carrier or his agents may deem sufficient as additional security for the contribution of the goods and for any salvage and special charges thereon, shall, if required, be made by the goods, shippers, consignees or owners of the goods to the Carrier before delivery. Such deposit shall, at the option of the Carrier, be payable in United States money.

ln the event of accident, change, damage or disaster before or after commencement of the voyage resulting from any cause whatsoever, whether due to negligence or not, for which, or for the consequences of which, the Carrier is not responsible, by statute, contract, or otherwise, the goods, shippers, consignees, or owners of the goods shall contribute with the Carrier in general average to the payment of any sacrifice, losses, or expenses of a general average nature that may be made or incurred, and shall pay salvage and special charges incurred in respect of the goods. If a salving ship is owned or operated by the Carrier, salvage shall be paid for as fully as if Such salving ship or ships belonged to strangers.

11. Whenever the Carrier or Master may deem it advisable, or in any case where the goods are destined .for ports or places at which the ship does not call, and particularly but not exclusively where the-Port of Discharge from Ship and Destination of the Goods named overpage are not the same, the Carrier may, without notice, but at its own expense, forward the whole or any part of the goods before or after loading at the original port of shipment, or any other place or places even though outside the scope of the voyage or the route to or. Beyond the port of discharge or the destination of the goods by water, by land or by air, or by any combination thereof, whether operated by the Carrier or by others and whether departing or arriving or scheduled to depart or arrive,before or after the ship expected to be used for the transportation of the goods. The Carrier may delay forwarding awaiting a vessel or conveyance in its own service or with which it has established connections. In all cases where the goods are delivered to another carrier, or to a lighter owner, warehouseman or other bailee for the purpose of transshipment, the liability of this carrier shall absolutely cease when the goods are free of the ship's tackle; and the responsibility of this Carrier thereafter shall be that of a forwarding agent of the shipper and this Carrier shall be without any other responsibility whatsoever; and the goods shall thereafter be at the risk for all purposes and in every respect of the shipper, consignee, and/or the on-carrier, and subject to all conditions arid exceptions ha the bill of lading, receipt or other agreement under which the goods are forwarded.

The carriage by any transshipping or forwarding carrier and all

transshipment or forwarding shall be subject to all the terms whatsoever in the regular form of bill of lading, freight note, contract or other shipping document used at the time by such carrier, whether issued for the goods or not, and even though such terms may be less favorable to the shipper or consignee than the terms of this bill of lading and may contain more stringent requirements as to notice of claim or commencement of suit and may exempt the on-carrier from liability for negligence. The shipper expressly authorizes the Carrier to arrange with any such transshipping or forwarding carrier that the lowest valuation of the goods or limitation of liability contained in the bill of lading or shipping document of such carrier shall apply even though lower than the valuation or limitation herein. Pending or during transshipment the goods may be stored ashore or afloat at their risk and expense. Any increase in freight for on-carriage from the Port of Discharge from Ship over the rate prevailing the time of the engagement evidenced by this bill of lading, which latter rate has been used in computing the freight charges on this shipment, shall be a charge upon the goods and shipper and consignee shall be liable therefor.

Cargo for ports in places in Jamaica other than Kingston may be transshipped or otherwise treated in accordance with the privileges of this or other articles at Kingston, or other Jamaican ports,at shipper's risk but ship's expense, lighterage, wharfage and other landing charges at destination to be paid by consignee.

凡运往除金斯顿以外的牙买加各港口的货物可按转运或根据本条或其他有关金斯顿,或其他牙买加港口的条款所规定的特权予以处理,风险由发货人承担,但费用由船只承担,目的地的驳船费、码头费或其他卸货费由收货人支付。

12. The port authorities are hereby authorized to grant a general order for discharging immediately upon arrival of the ship and the Carrier without giving notice either of arrival or discharge, may discharge the goods directly as they come to hand, at or onto any wharf, craft or place that the Carrier may select, and continuously Sundays and. holidays included, at all such hours by day or by night as the carrier may determine no matter what the state of the weather or custom of the port may be. Delivery of the goods shall be received by the consignee directly from ship's tackle as the goods come to hand in unloading or as soon as available if discharged on Carriers wharf. The Carrier shall not be liable in any respect whatsoever if heat or refrigeration or special cooling facilities shall not be furnished during loading or discharge or any part of the time that the goods are upon the wharf, craft, or other loading or discharging place. All lighterage and use of craft in discharging shall be at the risk and expense of the goods. Landing and delivery charges and pier dues shall be at the expense of the goods unless included in the freight herein provided for. If the goods are not taken away by the consignee by the expiration of the next working day after the goods are at his disposal, the goods may at Carrier's option and subject to Carrier's lien, be sent to store or warehouse or be permitted to lie where landed, but always at the expense and risk of the goods. The responsibility of the Carrier in any capacity shall altogether

cease and the goods shall be considered to be delivered and at their own risk and expense in every respect when taken into the custody of customs or other authorities. 13. The Carrier does not undertake to lighter the goods from or to shore at any port. Lighterage at all ports shall be at the risk of the goods, and any lighterage charges, whether separately stated or included in the steamship freight, are received for disbursement, for account of shipper and consignee, to the lighterage concerns performing the lighterage. In receiving and disbursing lighterage charges, and in employing or appointing the lightermen and/or contractors, the Carder acts solely as agent for shipper and consignee and is not responsible for the character, condition or seaworthiness of the lighters, or any fault or negligence of the lightermen, the Carrier's responsibility being strictly limited to its own line. The expense of lighterage at Haitian ports is not included in the steamship freight but is a separate charge to be borne by the shipper and consignee.

14. If the Goods are landed on a Government wharf to be taken charge of, handled or moved by any concessionaire or Government agent or nominee or for the performance of any duty in respect thereof by the customs or other authorities, or delivered into the custody of such authorities or others, any responsibility of the Cartier shall be ended, without notice to the consignee, authorities, wharfingers, concessionaires or others, as soon as the Goods are so landed or delivered; and the Goods shall be deemed thereupon in the sole custody of the wharfingers and/or of such concessionaires, agent or nominee and the customs and other authorities, who shall be deemed the agents solely of the consignee or other person entitled to the Goods; but the Goods shall continue subject to any lien of the Carder. In case of Option granted to shipper between two or more ports of discharge, election shall be made and immediate notice given on arrival of ship at first of such ports, otherwise the goods may be landed at either port. 十四、如果货物卸在一官方码头,由任何特许权受让人或政府代理人或受命人管理、处置或搬动或根据海关或其他当局为履行任何义务而就此处置,或交付给上述机构或其他机构监护,一旦货物如此卸船或交付,不必通知收货人、当局、码头公司、特许权受让人或其他

15. The Carrier shall not be liable for failure to deliver in accordance with marks unless such marks shall have been clearly and durably stamped or marked by the shipper before shipment upon the goods or packages, in letters and numbers not less than two inches high, together with name of the port of discharge. Goods that cannot be identified as to marks or numbers, cargo sweepings,liquid residue and any unclaimed goods not otherwise accounted for shall by allocated for completing delivery to the various consignees of goods of like character, in proportion to any apparent shortage, loss of weight or damage. Loss or damage to goods in bulk stowed without separation from other goods in bulk of like quality, shipped by either the same or another shipper, shall be divided in proportion among the several shipments. 十五、除非发货人在装运前在货物或包装上打上清晰持久的唛头,且唛头字符和数字编号不得低于2英寸,并印有卸货港的名称,否则承运人将不负未按唛头交货的责任。无法按唛头或编号识别的货物、地脚货、剩余液体和任何无另行规定的货主不明货物应按明显短缺、重量损失或货损的比例分给各位类似货物的收货人,以补足交货。与同一或别的发货人所发运的同性质的其他散装货混装在一起的散装货的灭失或损失,应按几种货物的装运比例予以计算。

16. The goods shall be liable for all expense of mending, cooperage, baling or reconditioning of the goods or packages and gathering of loose contents of packages also for any payment, expense,fine, dues, duty, tax, impost, loss, damage or detention sustained or incurred by or levied upon the Carrier or the ship in connection of the goods, .howsoever caused, including any action or requirement of any government or governmental authority or person purporting to act under the authority thereof, seizure under legal process or attempted seizure, incorrect or insufficient marking, numbering or addressing of packages or description of the contents, failure of the shipper to procure consular, Board of Health or other certificates to. accompany the goods or to comply with laws or regulations of any kind imposed with respect to the goods by the authorities at any port or place or any act or omission of the shipper or consignee.

十六、货主应承担所有缝补、装桶、打包或整理货物或包装和收集包装松散内装物的费用;且承担一切与货物相关的,由承运人或船舶承受或发生或对其施加的支付、开支、罚款、费用、关税、税务、税收、灭失、损失或延滞,包括任何政府、政府机构或代表政府或政府机构作为的个人的任柯行为或要求,根据法定程序的捕获或未遂捕获、标记及包装编号或地址或内装物的陈述不当或不善、发货人未取得有关货物的领事、卫生或其他证书或未遵守任何港口或地方当局有关货物的任何法规或规定、或发货人或收货人的任何作为或不作为。 17. Freight shall be payable on actual gross intake weight or measurement or, at Carrier's option, on actual gross discharged weight or measurement. Freight may be calculated on the basis of the particulars of the goods furnished by the shipper herein but the Carrier may at any time open the packages and examine, weigh, measure and value the goods. In case shippers particulars are found to be erroneous and additional freight is payable, the goods shall be liable for any expense incurred for examining, weighing, measuring and valuing the goods. Full freight shall be paid on damaged or unsound goods. Full freight hereunder to port of discharge named herein shall be considered completely earned on shipment whether the freight be stated or intended to be

prepaid or to be collected at destination; and the Carrier shall be entitled to all freight and charges due hereunder, whether actually paid or not, and to receive and retain them irrevocably under all circumstances whatsoever ship and/or cargo lost or not lost or the voyage broken, up or abandoned. If there shall be a forced interruption or abandonment of the voyage at the port of shipment or elsewhere any forwarding of the goods or any part thereof shall be at the risk and expense of the goods. All unpaid charges shall be paid in full and without any offset, counterclaim or deduction in the currency of the port of shipment, or, at Carrier's option, in the currency of the port of discharge at the demand rate of New York exchange as quoted on the day of the ship's entry at the Custom House of the port of discharge. The Cartier shall have a lien on the goods, which shall survive delivery, for all charges due hereunder and may enforce this lien by public or private sale and without notice. The shipper and the consignee shall be jointly and severally liable to the Carrier for the payment of all charges and for the performance of the obligation of each of them hereunder.

十七、运费应按实际总装运重量或尺码或,依承运人的选择,按实际总卸货重量或尺码予以支付。运费可根据发货人在本单据上所填具体货物类别予以计算,但承运人可随时开包对货物进行检查、称重、丈量和估价。如果发现发货人填写情节不实,除应交纳额外运费外,一切因货物检查、称重、丈量和估价而发生的费用均应计算在货主头上。残损货物也应支付全部运费。至于本提单规定的卸货港的全部运费应视为在装船时已为承运人赚取,不管运费是否有规定或旨在预付或是在目的地收取;承运人有权获得所有运费和应付费用,不管事实上是否已经支付,并有权在任何情况得到并不予归还这些费用,不论船只和(或)货物是否损失或航行中断或取消。如果在装运港或其他地方被迫出现航行中断或取消,货物全部或部分转运的风险和费用应由货主承担。所有未付费用必须全部用装运港处的货币支付,不得作任何抵消、反索赔或扣减,或,根据承运人的选择,按船只进入卸货港报关时当天纽约交易所的即期汇率,用卸货港的货币支付。承运人有权因本提单规定的所有应付费用对货物进行留置,因留置可中止交货,且可不经通知,公开或不公开出售货物以执行留置权。发货人和收货人必须共同和分别负责向承运人支付一切费用,并履行各自的合同义务。

Freight must be paid the carrier in cash on issuance of this bill of lading, failing which the forwarder or other person presenting this bill of lading for signature shall be deemed authorized by the herein named shipper to sign a due bill for the freight on shipper's behalf which shall bind the shipper to pay the freight to the Carrier.

出示本提单必须现金支付承运人运费,否则,运输代理人或其他出示签字提单的人应被视为由提单上的发货人授权代表发货人签署运费借据,该借据将对发货人向承运人支付运费具有约束力。

18. Neither the Carrier nor any corporation owned by, subsidiary to or associated or affiliated with the Carrier shall be liable to answer for or make good any loss or damage to the goods occurring at any time and even though before loading on or after discharge from the ship, by reason or by means of any fire whatsoever, unless such fire shall be caused by its design or neglect. 十八、承运人以及承运人所拥有的,与承运人有联系或关联的任何公司均不负责担保或赔偿任何时候货物所发生的任何灭失或损失,即使灭失或损失是在装船前或卸货后由于火灾所致,除非火灾是因其故意或过失而导致。

19. In case of any loss or damage tO or in connection with goods exceeding in actual value $ 500 lawful money of the United States, per package, or, in case of goods not shipped in packages, per customary freight ,unit, the value of the goods shall be deemed to be $ 500 per

package or per unit, on which basis the freight is adjusted and the Carrier's liability, if any, shall be determined on the basis of a value of $ 500 per package or per customary freight unit, or pro rata in case of partial loss or damage, unless the nature of .the goods and a valuation higher than $ 500 shall have been declared in'writing by the shipper upon delivery to the Carrier and inserted in this bill of lading and extra freight paid if required and in such case if the actual value of the goods per package or per customary freight unit shall exceed such declared Value, the value shall nevertheless be deemed to be the declared value and the Carrier's liability, if any, shall rfot exceed the declared value and any partial loss or damage shall be adjusted pro rata on the basis of such declared value.

Whenever the value, of the goods is' less than $ 500 per package or other freight unit, their value in the calculation and adjustment of claims for which the Carrier may be liable shall for the purpose of avoiding uncertainties and difficulties in fixing value be deemed to be the invoice value, plus freight and insurance to the extent that they are paid and irrecoverable, irrespective of whether any other value is greater or less.

如果每件或其他运费单位货物的价值低于500美元,在计算和推算承运人可能承担的索赔时,为避免价值的认定不确切和困难,应将发票价格,已支付且不再退还的运费和保险费视为货物价值,而其他价值的多少不予考虑。

An article or piece of merchandise which is not crated, boxed or packaged shall nevertheless be considered a separate package or the customary freight unit for the purpose of determining the extent of the liability of the Carrier under this clause and under Section 4 (5) of the Carriage of Goods by Sea Act, notwithstanding anything to the contrary herein contained.

凡未装箱、装盒或打包的商品,在决定承运人的责任大小时,根据本条款和《海上货物运输法》第4条第5款的规定,应按单独一件或一惯用运费单位予以计算,即使有与本合同相反的规定存在。

20. Unless notice of loss or damage and the general nature of such loss or damage be given in writing to the Carrier or his agent at the port of discharge before or at the time of the removal of the goods into the custody of the person entitled to delivery thereof under the contract of carriage, such removal shall be prima facie evidence of the delivery by the Carrier of the goods as described in the bill of lading. If the loss or damage is not apparent the notice must be given within three days of the delivery. The Carrier shall not be liable upon any claim for loss or damage unless written particulars of such claim shall be received by the Carrier within thirty days after receipt of the notice herein provided for. 二十、除非在货物于卸货港移交至货运合同所规定的收货人监护之前或当时,书面将灭失或损失或有关灭失或损失的一般性质通知承运人或其代理人,否则此种移交即构成承运人按提单规定交货的初步证据。如果灭失或损失不明显,通知必须在交货三日内送达。若未在接到本条款规定的通知后三十天内收到详尽的书面索赔书,承运人对任何灭失或损失索赔将

不负责任。

21. In any event, the Carrier and the ship shall be discharged from all liability for any loss of, or damage to, or delay of the goods or with respect to refund of freight, charges or expenses, or any other claim of whatsoever description, unless suit is brought within one year after delivery of the goods or the date when the goods should have been delivered. Suit shall not be deemed brought until jurisdiction shall have been obtained over the Carrier and/or the ship by service of process or by an agreement to appear. 二十一、在任何情况,承运人和船舶均不对货物的任何灭失、损失、或延误或有关运费、费用或开支的退还,或任何种类的索赔承担任何责任,除非在交货后或应当交货之日起一年之内提起诉讼。只有经送达传票或经同意出庭,获得对承运人和/或船舶的管辖权,诉讼方可视为成立。

22. To avoid or alleviate prevention or delays in prosecution or completion of the voyage incident to the existence of hostilities, the Carrier has liberty and is authorized by the shipper and the owner of the goods to agree with the representatives of any government to submit the goods to examination at any place or places whatsoever and to delay delivery of the same until any restriction asserted by any governmental authority shall have been removed. The Carrier may put the goods in store ashore or afloat at the risk and expense of the owner of the same pending examination; and thereupon the Carrier's responsibility shall end. Any damage or deterioration occasioned by such examination or by delay and other risks of whatsoever nature shall be solely for account of the owner of the goods. All expenses incurred by the Carrier in relation to such detention of the goods shall be paid by the shipper or consignee. 二十二、为避免或减少因敌意而导致的对航程的羁绊或延迟,承运人可以且由发货人和货主授权与任何政府代表协商,在任何地方提交货物以供检查,并延迟交货直至任何政府机构设置的障碍全部被清除。承运人可将货物存于岸上或储存在船上,滞留检查期间的风险和费用由货主承担;承运人的责任至此解除。因此种检查或延误或其他任何性质的风险而引起的任何损害或腐烂应完全由货主承担。承运人所发生的与此滞留有关的一切费用应由发货人或收货人支付。

23. All cargo is subject to stowage in holds and handling in quantities along with other cargo in any customary manner required for usual dispatch, and to contact with other cargo, working and pressure and the like, and the rate of freight is adjusted with reference to such handling and stowage.

二十三、所有货物均用船舱积载并同其他货物一起,可用惯常的规定方式急遣,可与其他货物接触,处理及挤压等等,运费参照搬运和积载情况计算。

24. This Bill of Lading shall be construed and the rights of the parties thereunder determined according to the law of the United States, except as otherwise provided herein. 二十四、如无另行规定,本提单的解释以及合同当事人权利的认定应根据美国法律予以处理。

25. As under the laws and regulations of Venezuelan and the Dominican Republic ports, the Carrier is required to make delivery of the goods to the Customs after which the goods are no longer subject to the Carrier's control or disposition, the carrier's liability and responsibility in any capacity thereupon altogether ceases, and from and after such delivery to the Customs the Carrier is not liable with respect to any all claims for loss, damage, delay, non-delivery and/or misdelivery of the goods, the care, custody and proper delivery having been taken over by the Customs.

26. Cargo skids and labor on quay are to be provided by ship's agent for account of consignee at current rates, and any cargo which may be ordered for delivery into fiscal deposits, must be taken by an official cartman appointed by the agent of the ship, at current rates for account and risk of consignee.

二十六、货物滑动垫木和码头工人由船舶代理人提供,按现行费率记在收货人账上。凡按命令用作交付金融保证金的货物,必须由船舶代理人指定的正式卡车司机领取,按现行费率记账,风险由收货人承担。

27. Cotton: Description of the condition of the cotton does not relate to the insufficiency of or torn condition of the covering, nor to any damage resulting therefrom and Carrier shall not be responsible for damage of such nature.

二十七、棉花:有关棉花情况的说明若未涉及外包装不当或破损情况,也未涉及因此而产生的任何损害,承运人对此种性质的损害概不负责。

28. Specie: Specie will not be shipped or landed by the Carrier; it must be put on board by the shipper, and will only be delivered on board on presentation of the bills of lading properly endorsed; it may be carried on at consignee's risk if delivery is not taken during the ship's stay in port, and in every case the liability of the Carrier shall cease when the specie leaves the ship's deck.

二十八、硬币:承运人不负责装卸硬币;其必须由发货人运上船,且在出示正式背书的提单后在船上交货;如果船舶停泊在港时未交货,其可继续储留在船上,风险由收货人承担,一旦硬币离开船舶甲板,承运人的一切责任都将终止。

29. Specified dock discharge: If the Carrier makes a special agreement, whether by stamp hereon or otherwise, to deliver the goods hereby receipted for at a specified dock or wharf at the port of discharge, such agreement shall be construed to require the Carrier to make delivery at such specified dock or wharf at the port of discharge, such agreement shall be construed to require the Carrier to make delivery at such specified dock or wharf only if, in the sole judgment of the Master, the ship can safely under her own power, proceed to, lie at, and return from said dock or wharf, always afloat at any time of tide, and only if such dock or wharf is available to the ship immediately when the ship is ready to discharge the goods. In the event such specified dock or wharf is unavailable as above provided, the goods may be discharged at or onto any wharf, craft or place that the Carrier may select. All other provisions of this bill of lading shall apply whether the goods are discharged at a specified dock or wharf or elsewhere. 二十九、专用码头卸货:如果承运人已订立了专门协议,并在本提单或其他单据上注明;“货物将在卸货港的专门码头交接,此种协议应解释为承运人必须在规定的卸货港码头予以交货,只要船长自己认为船舶能用自己的动力安全驶进、停靠,并从上述码头返回,在任何潮汐时间不会搁浅,且只要船舶一旦准备就绪,即能利用此种码头卸货。如果此种专门码头不能按以上规定使用,货物可卸在承运人选择的任何码头、船舶或地方。本提单所有其他规定适用于在专门码头或其他地方的卸货。

30. All agreements or freight engagements for the shipment of the goods are superseded by this bill of lading, and all its terms, whether written, typed, stamped, or printed, are accepted and agreed by the shipper to be binding as fully as if signed by the shipper, any local customs or privileges to the contrary notwithstanding. Nothing in this bill of lading shall operate to limit or

deprive the Carrier of any statutory protection or exemption from or limitation of liability. If required by the Carrier, one signed bill of lading duly endorsed must be surrendered to the agent of the ship at the port of discharge in exchange for delivery order. None of the terms of this bill of lading shall be deemed to have been waived by the Carrier unless by express waiver signed by a duly authorized agent of the Carrier.

三十、所有有关货物装运协议或运费协定均被此提单取代,提单的所有条款,不论是手写、打印、盖印或印刷,均为发货人接受认可,其具有等同于发货人签署的条款的同样效力,任何与其抵触的地方惯例或特权均无效。本提单的任何规定不得限制或剥夺承运人的法定保护或免责或限制责任的权利。经承运人要求,必须在卸货港将正式背书签字的提单提交给船舶代理人以换回提货单。本提单任何条款均不得视为被承运人所放弃,除非有正式授权的承运代理人所签署的明文放弃书。

31. The ship, port of loading, shipper, consignee, addressee of arrival notice, port of discharge and destination of the goods mentioned in the clauses and conditions of this Bill of Lading are as follows:

32. AND FINALLY, that in accepting this bill of lading, the shipper, owner and consignee of the goods and holder of this bill of lading agree to be bound by all its provisions, on this page and overpage, whether written, pasted or stamped, as fully as if signed by all of them.

三十二、最后,一旦接受本提单,发货人、货主及收货人和本提单持有人同意并接受提单本页和上页所列的一切条款的制约,不论其是手写、粘贴或印盖,效力等同与他们签署的条款。

In Witness Whereof, the master or agent of the said vessel has signed THREE bills of lading, all of this tenor and date, and if one is accomplished, the other shall be void.
